Nathan L. Stone has been practicing general corporate and transactional law for over twenty-six years and with Jackson Kelly PLLC in Denver, Colorado, since August 2002. Currently, he is the Assistant Leader of the Commercial Law Practice Group and Leader of the Higher Education Industry Group. Mr. Stone represents various business entities including start-up companies, emerging growth businesses and public companies whose securities trade on U.S. and foreign stock markets. His representation of such clients includes general corporate and business transactions advice as well as assistance with commercial sales and licensing transactions, lending transactions, securities laws compliance and securities offerings, and routinely involves negotiating and drafting corporate operating documents and a broad range of transactional and capital raising documents, such as asset and stock purchase and exchange agreements, secured and unsecured loans, and commercial lease agreements. Mr. Stone also advises clients regarding transition and succession planning.

Mr. Stone's high-tech practice includes advising clients on joint ventures and strategic alliances, as well as the negotiation and drafting of software application and network development and license agreements, software maintenance, support and consulting agreements, manufacturing and technology license agreements and website development and hosting agreements for companies in the software, internet, aerospace, telecommunications, education, amusement ride, health care and defense industries. Mr. Stone is also at the forefront of the developing area of unmanned aircraft systems (also known as UAS, UAV or "drones").

Mr. Stone views his role in any negotiation or transaction to be that of a "deal maker", rather than "deal breaker." As a result, he has successfully negotiated numerous asset and stock acquisitions, like-kind exchanges (using a qualified intermediary) and mergers and consolidations. Since joining Jackson Kelly, he has represented various companies, as lead counsel, in the acquisition, disposition and exchange of more than $100 million of assets. Mr. Stone has facilitated transactions throughout the United States and in numerous industries, including the oil and gas, defense, amusement ride, information technology, construction, restaurant and entertainment, manufacturing and the robotics, software and other high-tech industries. Mr. Stone also has significant experience working with regional and national investment banking and venture capital firms in connection with venture capital financing, initial public offerings, secondary offerings and business combinations. 

Examples of Mr. Stone's work include:
 

  • Represented an information services company in the development of licensing agreements which resulted in more than $30 million in revenue and which were the primary assets sold by the company in its 2005 sale to a database marketing company
  • Assisted a professional consulting firm in protecting and licensing its key intellectual property as part of the company's plan for future growth
