Mark A. Imbrogno is a Member in Jackson Kelly's Morgantown, West Virginia, office. He practices in the Health Care and Finance Practice Group and the Commercial Law Practice Group and focuses his practice in the areas of public and private finance, corporate matters, commercial transactions, and government relations. Mr. Imbrogno routinely serves as bond counsel, underwriter's counsel, and issuer's counsel in public and governmental financing, primarily involving tax-exempt bonds. In addition, he has experience in financing and development of infrastructure and economic development projects, including tax increment financing.

Mr. Imbrogno has acted as counsel in transactions involving loans and other financing arrangements for private entities and has experience with performing due diligence for business transactions. He has worked on transactions in several different industries, including banking, energy, manufacturing, and higher education. Mr. Imbrogno has experience in securities law, including blue sky filings and preparing offering materials. He has also drafted legislation for clients, including economic development and public finance legislation authorizing the creation of special districts and the issuance of revenue bonds.

Mr. Imbrogno has experience working in both the Executive and Legislative branches of West Virginia’s state government. Mr. Imbrogno served as Deputy General Counsel to Governor Earl Ray Tomblin in the West Virginia Governor’s Office from 2014 to 2016. During that time, in addition to advising the governor and his staff on legal and policy matters, he served as Governor’s designee as chairman of the West Virginia Water Development Authority, the West Virginia Infrastructure and Jobs Development Council, the West Virginia Investment Management Board and the West Virginia State Tobacco Growers’ Settlement Board.  As well, Mr. Imbrogno served as counsel to the Senate Finance Committee and the Senate Economic Development Committee during the 2012 and 2013 sessions of the West Virginia Legislature. As a result of these positions, Mr. Imbrogno has extensive experience drafting and preparing legislation and interfacing and working with government agencies and officials.

Mr. Imbrogno also served as Senior Associate General Counsel in West Virginia University’s Office of General Counsel from 2016 to 2017.  During that time, Mr. Imbrogno advised the university and its affiliated research corporation on a variety of legal and policy issues across administrative and academic units, particularly in the areas of contracting, healthcare, research, compliance, ethics and government relations.  He routinely worked on commercial and research transactional matters with the university’s academic medical center and affiliated health system. Among other offices, Mr. Imbrogno also regularly advised the university’s procurement, institutional review board, technology transfer, export control and sponsored research offices.

Mr. Imbrogno received his Juris Doctor from the University of Louisville Brandeis School of Law in 2011 where he graduated summa cum laude. While attending law school, Mr. Imbrogno served as Senior Articles Editor for the University of Louisville Law Review. While on law review, Mr. Imbrogno had an article published entitled "Pipedream To Pipeline: Ownership of Kentucky's Subterranean Pore Space For Use in Carbon Capture and Sequestration." He graduated from the University of Kentucky with a Bachelor of Arts in business administration in 2002.
