Charles A. Compton is the Managing Member of the Firm's Evansville, Indiana, office. He joined the Firm in October, 2015. Mr. Compton practices in the areas of commercial law, corporate law, mergers and acquisitions, real estate and natural resources. He has two decades of private practice experience as well as four years of experience as General Counsel and senior executive of a coal company.

Mr. Compton has advised acquirers, target companies or their owners in a significant number of acquisitions in a range of industries, including coal, oil and gas, construction, dredging, transportation, manufacturing, wholesale supply and retail sales. Mr. Compton has advised clients in connection with transactions having asset or enterprise values ranging from the low millions to in excess of one-half billion.

Mr. Compton’s corporate experience includes advising clients on corporate governance matters, succession planning and the drafting of buy-sell agreements for closely held entities. His business practice also includes the representation of borrowers and lenders in traditional financing transactions as well as the representation of clients in mezzanine debt and preferred capital transactions. Mr. Compton has substantial experience and regularly advises clients in the drafting and negotiation of commercial contracts involving a broad range of subject matter. Mr. Compton began his practice in Indianapolis with Ice Miller LLP, where his practice included not only experience with mergers, acquisitions, corporate securities and other corporate matters, but also included work as bond counsel on several dozen tax-exempt bond offerings for both local issuers and various agencies of the State of Indiana.

Within the coal industry, Mr. Compton has served as lead counsel for companies in the acquisition, sale or development of numerous permitted mining operations as well as the acquisition of inactive or undeveloped mineral acreage in dozens of project areas. Mr. Compton has acted as counsel for mining companies in the negotiation and documentation of hundreds of surface land related transactions, including surface purchases, surface leases, mining and blasting waivers, restrictive covenants, subsidence agreements and road relocations and closures, both temporary and permanent. He has drafted and negotiated a wide array of commercial contracts for mining clients, including coal supply agreements, contracts for the construction of slopes, shafts, preparation plants, surface facilities, utility infrastructure and rail sidings, rail transportation agreements, contracts for the purchase or leasing of mining equipment, credit facilities, term debt financings, operating leases, contract mining agreements, and vendor terms and conditions. Mr. Compton has assisted the industry as principal or contributing drafter of Indiana legislation affecting title to and the development of coal, is a former director and Vice Chair of the Illinois Coal Association, has represented the Indiana Coal Council as amicus curiae before the Indiana Court of Appeals and is a Trustee of the Energy and Mineral Law Foundation.

Mr. Compton received his undergraduate degree in economics, with honors, from DePauw University, where he was a Rector Scholar. He received his law degree from the Vanderbilt University School of Law.
