D. Luke Thomas is Counsel in Jackson Kelly’s Bridgeport, West Virginia, office. Mr. Thomas is a member of the Commercial Law Practice Group where he advises clients on general corporate matters, banking matters, real estate matters, contractual matters and in the area of trusts and estates. He has served clients from the banking, coal, health care, oil and gas and timber industries.

Specific examples of Mr. Thomas’ professional experience include:

  • Managing and directing the life cycle of commercial and residential real estate transactions, construction projects, and land acquisition transactions from initiation to close, including title examinations, title curative, title insurance and financing
  • Analyzing, negotiating and drafting contracts of various business types such as, but not limited to, master service agreements, real estate leases for commercial businesses and individuals, wireless communication facilities agreements, oil and gas leases and commercial building leases
  • Advising clients regarding all aspects of real property and contract law
  • Negotiating business sales, mergers and acquisitions
  • Negotiation of wireless communication agreements, real estate leases and site license agreements with private landlords, public entities and third-party administrators
  • Advising clients regarding coal, timber and oil and gas matters
  • Advising clients regarding UCC 2 transactions (sales), including but not limited to battle of the forms, and other issues related to the UCC
  • Advising clients regarding UCC 9 transactions (secured transactions)
  • Assisting clients in developing budget forecasts, business plans and strategic plans
  • Advising clients regarding litigation matters, manage the life cycle of litigation including discovery, and litigate various types of business, contracts and real property issues including minerals, timber and coal
  • Consulting with businesses on licensure, structure and employer liability
  • Advising health care companies regarding contracts, Medicare determinations and challenges
  • Performing assessment of property for viability of lease or purchase
  • Representing creditors in bankruptcy proceedings
  • Acting as counsel for financial institutions in commercial lending matters
  • Counseling clients regarding accountancy malpractice matters
  • Advising clients on fraud and conversion of funds related to their employees and their accountants
  • Representing owners and tenants of commercial and residential properties in landlord-tenant disputes
  • Advising clients in the estate probate process
  • Defending clients in insurance defense cases
  • Advising clients on estate planning, will contests and estate probate matters
  • Acted as Guardian Ad Litem (civil litigation and Child Protective Services)

Mr. Thomas is a 2005 graduate of the West Virginia University College of Law and received a Bachelor of Science in Business Administration (accounting) from West Virginia University in 2002.
